Terms of Service.

These Terms of Service ("Terms") govern your access to and use of the Ivy mobile application, website, and related services (collectively, the "Services"). By using the Services, you agree to these Terms and our Privacy Policy.
1. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to create a primary Ivy account. You are responsible for accurate account information, safeguarding your credentials and profile PINs, and activity under your account.
2. Family and child profiles
A parent or legal guardian may create child profiles and is responsible for supervising a child’s use of Ivy. Child-facing profiles are intended for household routines, learning, creative play, and related family features. Children may not independently use community, messaging, purchasing, selling, or other adult-only features.
3. Acceptable use
You agree not to:
- Use the Services for illegal, fraudulent, harmful, threatening, harassing, hateful, discriminatory, or exploitative activity.
- Post content that violates another person’s privacy, intellectual property, or other rights.
- Impersonate others, misrepresent your identity, or create deceptive listings.
- Attempt to access another account, bypass security, scrape the Services, introduce malicious code, or disrupt the Services.
- Use Ivy to solicit personal information from children or expose children to inappropriate content.
- Buy, sell, or promote prohibited, unsafe, counterfeit, or regulated goods or services.
4. Your content
You retain ownership of content you submit. You grant Ivy a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and otherwise use that content only as reasonably necessary to operate, improve, and promote the Services. You represent that you have the rights needed to submit your content.
5. Community standards and moderation
We may review, restrict, remove, or preserve content and may suspend or terminate accounts when we reasonably believe these Terms, community standards, safety requirements, or law have been violated. You can report concerns through available reporting tools or by contacting support.
6. Marketplace
Ivy may help users discover or communicate about goods and services offered by other users or third parties. Unless expressly stated, Ivy is not the buyer, seller, employer, agent, or guarantor in those transactions. Users are responsible for listings, communications, legality, quality, payment, delivery, taxes, and resolving disputes. Exercise appropriate care when meeting or transacting with others.
7. Paid services
If Ivy offers subscriptions or paid features, prices and terms will be presented before purchase. App-store purchases are also subject to the applicable store’s terms. Except where required by law, payments are non-refundable. You can manage or cancel subscriptions through the platform where you subscribed.
8. Ivy intellectual property
The Services, including software, design, logos, text, graphics, and other materials provided by Ivy, are owned by or licensed to Ivy and protected by law. Except for the limited right to use the Services under these Terms, no rights are granted to you.
9. Third-party services
Ivy may link to or integrate with third-party services. We do not control and are not responsible for their content, products, availability, or practices.
10. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Content in Ivy is for general informational purposes and is not medical, legal, financial, or professional advice.
11. Limitation of liability
To the maximum extent permitted by law, Ivy and its affiliates, officers, employees, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, data, goodwill, or opportunities arising from the Services. Our aggregate liability for claims relating to the Services will not exceed the greater of $100 or the amount you paid Ivy in the 12 months before the claim.
12. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold Ivy harmless from claims, losses, liabilities, and expenses arising from your content, your use of the Services, your transactions with others, or your violation of these Terms or applicable law.
13. Suspension and termination
You may stop using Ivy at any time. We may suspend or terminate access when reasonably necessary to protect users, Ivy, or others; comply with law; address risk; or enforce these Terms. Provisions that by their nature should survive termination will survive.
14. Governing law and disputes
These Terms are governed by the laws of the United States and the state in which Ivy’s principal place of business is located, without regard to conflict-of-law principles. Any mandatory rights available to you under local law remain unaffected.
15. Changes to the Services or Terms
We may modify the Services and these Terms. We will post updated Terms with a revised effective date and provide additional notice when required. Continued use after the effective date means you accept the updated Terms.
16. General terms
If a provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our consent. We may transfer these Terms as part of a merger, acquisition, reorganization, or sale of assets.
